Terms of Service

Effective Date: March 2026

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the BayneOS platform and related services (collectively, the "Service") operated by BayneCorp, LLC, doing business as BayneTech ("Company," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

BayneOS is an AI-powered business operating system that automates operational workflows across four departments:

Client Operations	Email triage, appointment scheduling, client intake, follow-up sequences
Financial Operations	Transaction categorization, invoice management, payment tracking, reporting
Growth Engine	Social media content, review monitoring, lead follow-up, video repurposing
People Operations	Employee onboarding, HR documents, PTO management, team scheduling

3. Account Terms

One account per email address.
You are responsible for maintaining the security of your account credentials.
You must be at least 18 years of age to use the Service.
You must provide accurate and complete information during registration.
You must notify us immediately of any unauthorized access to your account.

4. Subscription & Billing

The Service is billed on a monthly basis through Stripe. Available contract terms include:

6-Month Contract	Discounted rate, billed monthly for 6 months
12-Month Contract	Best rate, billed monthly for 12 months

Setup fees may apply for initial platform configuration. Pricing is subject to change with at least 30 days' written notice.

5. AI Actions & Usage Limits

AI actions are the unit of work performed by BayneOS on your behalf. Each plan includes a monthly allocation of AI actions:

Per Department	750 actions/month per department

Usage is metered and visible in your dashboard. If you exceed your monthly allocation, overage actions are billed at $0.12 per action.

6. Cancellation & Refunds

Month-to-month: Cancel anytime. Service continues through the end of the current billing period.
6-month or 12-month contracts: Contract terms are honored for the full duration. Early termination does not result in a refund of remaining months.
Data retention: Your data is retained for 30 days after cancellation to allow for export, then permanently deleted.
Refunds: No refunds are issued for partial months or unused AI actions.

7. Data Ownership

You retain full ownership of all data you submit to the Service. By using BayneOS, you grant us a limited license to process your data solely for the purpose of delivering the Service to you. This license terminates when your account is closed. You may export your data at any time from your dashboard.

8. Acceptable Use

You agree not to:

Use the Service for any illegal activity or in violation of applicable laws
Abuse or intentionally game AI action metering
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute access to the Service
Use automated tools to scrape or extract data from the platform
Attempt to access other tenants' data or systems
Transmit malicious code or interfere with the Service's operation

Violation of these terms may result in immediate suspension or termination of your account.

9. Service Availability

We target 99.9% uptime for the Service. This is a target, not a guarantee. Planned maintenance will be communicated in advance via email or dashboard notification. We are not liable for downtime caused by force majeure events, including natural disasters, government actions, internet outages, or third-party service failures.

10. Intellectual Property

The BayneOS platform — including its software, designs, AI models, workflows, user interface, and documentation — is the intellectual property of BayneCorp, LLC. You retain intellectual property rights over your own data and any content generated by the Service on your behalf (e.g., drafted emails, social media posts).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYNECORP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless BayneCorp, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, available at bayneos.com/privacy. By using the Service, you consent to the collection, use, and processing of your data as described in the Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Caddo Parish, Louisiana.
